to the INBULK.COM Accession Agreement (Main Agreement, Edition INBULK-AGR-02)
Clause references “M-x.x” are to clauses of the Main Agreement.
INT-1. Scope and precedence
INT-1.1. This Country Addendum applies to Company Users registered in any country for which no separate Country Addendum has been adopted. This Country Addendum is an integral part of the Main Agreement and the Statement of Accession by which the relevant Company User accedes to the Main Agreement, and shall be read together with them as one contractual framework. In accordance with Clause M-4.1, this Country Addendum prevails over the Main Agreement in respect of the matters it specifically governs.
INT-1.2. Capitalised terms not defined in this Country Addendum have the meanings given to them in the Main Agreement.
INT-1.3. The Platform Operator for Company Users to which this Country Addendum applies is Inbulk FZ-LLC, a free zone limited liability company registered in the Ras Al Khaimah Economic Zone (RAKEZ), United Arab Emirates, commercial licence No. 5035735, address: FDBC3959, Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates, email for notices: [email protected].
INT-2. Signing of the Statement of Accession (supplements M-1.2 and M-6.4)
INT-2.1. The Statement of Accession is signed by the Signatory using an electronic signature or other electronic signing method available on the Platform that identifies the Signatory, indicates the Signatory’s intention to sign and satisfies the applicable legal requirements for the relevant Company User and transaction. Where available and appropriate, this may include an advanced or qualified electronic signature. Where the Platform Operator expressly permits it and applicable law allows, the Statement of Accession may be signed in wet ink, subject to verification of identity and corporate authority.
INT-2.2. The Platform describes accurately the signing method actually used and does not represent an authentication event (OTP, checkbox, click-to-accept) as an electronic signature of a higher legal level.
INT-3. Business Days and time (supplements M-2.1 “Business Day” and M-15.3)
INT-3.1. Notwithstanding the reference in Clause M-2.1 to the country of registration of the Company User, “Business Day” means a day other than a Saturday, Sunday or official public holiday in the United Arab Emirates, unless the relevant Business, Contract, Service Order or Special Terms specify another calendar.
INT-3.2. Time periods are calculated in Coordinated Universal Time (UTC), unless otherwise specified in the terms of a specific transaction. Local time may additionally be displayed.
INT-4. Mandatory local law
INT-4.1. Nothing in the Agreement excludes or restricts any mandatory provision of law applicable to the Platform Operator, the Company User or the relevant transaction that cannot be derogated from by agreement, including rules on licensing, foreign exchange, customs, sanctions, product regulation, corporate authority and the form, registration or approval of particular transactions. Where such mandatory rules require a particular form, registration, filing, approval or other condition for validity or enforceability, the relevant transaction or act does not become effective or enforceable until that requirement is satisfied. To the extent of any conflict, the applicable mandatory provision prevails, and the remaining provisions of the Agreement continue in effect to the fullest extent permitted by law.
INT-5. Personal data (supplements M-12.1 and M-12.2)
INT-5.1. The Platform Operator processes personal data in accordance with the data protection law applicable to the relevant processing, including UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and, where its territorial scope is met, Regulation (EU) 2016/679 (GDPR), together with any other mandatory data protection law applicable to the Platform Operator, the Company User or the relevant processing activity.
INT-5.2. Cross-border transfers of personal data are carried out only where the legal basis and safeguards required by the applicable law have been established.
INT-6. Liability (supplements M-13.6)
INT-6.1. For functionality provided free of charge, the aggregate liability referred to in Clause M-13.6 shall not exceed USD 2,500 (two thousand five hundred United States dollars).
INT-7. Notices (supplements M-15.1)
INT-7.1. Where the applicable law or the relevant transaction requires a formal notice, it is sent to the email address for notices specified in the Statement of Accession and, where required by law, additionally by courier to the registered office of the addressee.
INT-8. New Editions (supplements M-14.8)
INT-8.1. Acceptance of a new Edition of the Main Agreement or a new version of this Country Addendum is given by signing a new Statement of Accession using a method referred to in INT-2.1 or, to the extent permitted by applicable law, by another express confirmation in the Company Account that makes it possible to identify the person giving the confirmation, the relevant Edition of the Main Agreement and the version of this Country Addendum, and records that person’s intention to be bound. Any amendment to governing law, dispute resolution or arbitration, or to any other provision for which applicable law requires written or signed consent, must be accepted in a form satisfying that requirement.
INT-9. Governing law (replaces the reference in M-15.4)
INT-9.1. The Agreement between the Platform Operator and a Company User to which this Country Addendum applies, and any non-contractual obligations arising out of or in connection with it, are governed by the laws of England and Wales.
INT-9.2. The incorporation, legal status, legal capacity, internal organisation and corporate authority of each Party remain governed by the law applicable to that Party.
INT-9.3. The law governing a separate Business, Contract or Service Order is determined by its final terms. For an international sale of goods, the final transaction terms should expressly state whether the United Nations Convention on Contracts for the International Sale of Goods (CISG) applies or is excluded.
INT-10. Dispute resolution (replaces the reference in M-15.5)
INT-10.1. Any dispute arising out of or in connection with the Agreement between the Platform Operator and a Company User, including any question regarding its existence, validity or termination, shall first be addressed by a written or electronic claim in accordance with Clause M-15.5. If not resolved within 15 (fifteen) Business Days after receipt of the claim, it shall be referred to and finally resolved by arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC) in force on the date of commencement of the arbitration, which Rules are deemed incorporated by reference into this Clause. The number of arbitrators shall be one. The seat of arbitration shall be the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates. The language of the arbitration shall be English.
INT-10.2. Nothing in this Clause prevents a Party from seeking interim or conservatory relief from a competent court.
INT-10.3. The Company User expressly accepts this Clause in writing in the Statement of Accession.
INT-11. Language (replaces the reference in M-15.9)
INT-11.1. This Country Addendum and the Statement of Accession for Company Users to which it applies are drawn up in English. The English text of the Agreement prevails over any translation.
INT-12. Clauses accepted separately in the Statement of Accession
INT-12.1. For the purposes of the Statement of Accession, the clauses that the Company User accepts separately in writing are Clauses INT-9 and INT-10 of this Country Addendum.
