This is a template, not a Contract in force

This page shows the form from which the Platform generates a Contract. On its own it binds no one and is not an offer. Only a Contract generated from an Accepted Order and signed by the Parties is in force.

Yellow marks the places filled in from the Order, the Business and the company profiles. The superscript number next to a gap refers to the “Fields to be filled in” table at the end of the page, which gives the source of the data and an example value.

Added automatically

This text is added to the Contract if “Partial discharging is allowed” is selected in the Order.

If discharge takes place at one port and one berth, laytime for each receiver is calculated pro rata based on the quantity discharged. If discharge involves more than one berth or port, the first receiver’s laytime starts upon a valid NOR and includes all time until completion of discharge of that receiver’s cargo. For each subsequent receiver, time counts only for the actual time used to discharge that receiver’s cargo, excluding shifting, sailing between berths or ports, waiting, or handling other receivers’ cargo, unless otherwise agreed.

11.3. Demurrage, detention and despatch rates are as per the charter party, booking note or fixture recap. Demurrage and despatch rates will be advised along with the vessel nomination.

Demurrage, detention and despatch to be settled within 15 working days after discharging on the basis of the SOF and NOR duly signed by the ship’s agency. The invoice for demurrage, detention or despatch shall be based on a laytime calculation mutually agreed between the Parties and paid within 10 working days.

11.4. All discharge costs are for the Buyer’s account. Any demurrage or detention arising at the port of discharge due to the Buyer’s delay in payment is for the Buyer’s account and responsibility.

Such termination shall be without prejudice to any rights and obligations existing prior to termination.

16.8. The Defaulting Party shall indemnify and hold the Non-Defaulting Party fully harmless in the event of loss or damage suffered by the Non-Defaulting Party, its principals or affiliates as a result of any breach, whether intentional or not, of the above-mentioned Sanctions by the Defaulting Party.
